These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services, including but not limited to web development, software solutions, mobile app development, e-commerce solutions, digital marketing & SEO, and hotel channel manager software (collectively, the “Services”). By accessing or using our website or Services, you agree to be bound by these Terms.
By using our website or Services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Service details, deliverables, milestones, timelines, and commercial terms may be defined in separate proposals, statements of work (SOW), work orders, or master service agreements (MSA). In the event of a conflict, the SOW/MSA will prevail over these Terms.
Unless otherwise agreed in writing, E2X Infotech retains ownership of pre-existing IP, frameworks, libraries, and reusable components used in delivering the Services. Subject to full payment, the client will receive a license or ownership to project-specific deliverables as defined in the SOW/MSA.
Client represents that any materials (content, data, trademarks) provided to E2X Infotech do not infringe third-party rights and grants E2X Infotech a limited license to use them solely for project delivery and promotion (portfolio) unless restricted in writing.
Each party agrees to protect the other’s confidential information and use it solely for the intended purpose. Personal data is handled in accordance with our Privacy Policy.
Our Services may integrate third-party services (e.g., payment gateways, analytics, cloud). We are not responsible for third-party content, availability, or policies. Your use of third-party services is subject to their respective terms and privacy policies.
Except as expressly stated in an SOW/MSA, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or future compatibility with third-party changes (APIs, app stores, browsers, OS updates, etc.).
To the maximum extent permitted by law, E2X Infotech shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profit, revenue, data, or business opportunities. Our aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim in the 3 months preceding the event.
You agree to indemnify, defend, and hold harmless E2X Infotech, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your breach of these Terms or misuse of the Services, or from materials you provide that infringe third-party rights.
We may suspend or terminate access to the Services for violations of these Terms, legal requirements, or non-payment. Either party may terminate a specific engagement as per the SOW/MSA. Upon termination, you must cease using the Services and pay any outstanding amounts due. Certain clauses (IP, confidentiality, limitation of liability, etc.) survive termination.
These Terms are governed by the laws of India. Courts in Noida, Uttar Pradesh shall have exclusive jurisdiction, subject to any arbitration clause in an applicable MSA/SOW.
We may update these Terms from time to time. Changes will be posted on this page and are effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
